What is goodwill and how does it arise in an M&A transaction?

Answer

Goodwill = Purchase Price − Fair Value of Net Identifiable Assets. It arises when an acquirer pays more than the fair value of the target's tangible and identifiable intangible assets (patents, trademarks, customer relationships).
